內容

課程概述

    本課程在介紹基礎的公司治理理論與概念，包括資本市場的運作、公司治理、台灣公司治理挑戰、股東會與委託書、董事會與獨立董事、監督機制與資訊揭露、薪酬與績效評估、借殼上市與僵屍股、內線交易、風險管理與企業接班人、政府與治理、企業倫理與ESG，使學習者瞭解當代公司治理的本質與整體的概念。同時，藉由個案之探討，提供學習者公司管理的實務做法。如此，將使學習者得將公司治理理論與概念運用於企業經營實境中。

       This course introduces basic corporate governance theories and concepts, including the operation of capital markets, corporate governance, corporate governance challenges in Taiwan, shareholder meetings and letters of attorney, boards of directors and independent directors, supervision mechanisms and information disclosure, compensation and performance evaluation, and backdoor listings.、with zombie stocks, insider trading, risk management and corporate succession, government and governance, corporate ethics and ESG, learners can understand the essence and overall concept of contemporary corporate governance. At the same time, through case studies, practical practices in company management are provided to learners. In this way, learners will be able to apply corporate governance theories and concepts to the actual business environment.
