內容

課程概述

公司為現今社會經濟生活中最重要的企業型態，公司法為其根本法，屬於商事法之一環。本課程將講授商事法之基礎理論、公司的概念、設立、機關等重要觀念，並探討我國公司法之新進立法，試以比較法之方法探討外國公司法，使同學能學以致用、在社會上工作。

Company is the most important enterprise type in modern economy society, and Company Law is the fundamental legal regime of enterprise. In order to let the students understand Company Law thoroughly, this course will introduce the basic theory of Commercial Law, the concept of corporation, incorporation, organ etc. Furthermore, this course will discuss the recent amendments on the basis of adopting the methodology of comparative law as well. By doing this, the course will increase students’ understanding of Company Law, and later apply it in the real world.

授課內容

本課程授課方式以講授為主，配合案(判)例及時事討論。授課時，將發放補充教材講義輔助教學之進行，並實施隨堂call-on，要求學生落實課前預習及課堂參與。由於商事法及公司法之學習，除了熟悉法律規定外，對於商業活動實務之瞭解，亦相當重要。因此，將要求同學課後廣泛蒐集閱讀財經新聞資訊，以增進學習效果。
